Acceptance of Terms

Usage of the Site and Services constitutes acceptance by you of these Terms. If you use our Site or Services, you represent and warrant that you have the authority to legally bind the organization on behalf of which you are using the Site or Services to these Terms. If you do not have such authority or if you do not agree to these Terms, you should not use the Site or Services.

Eligibility

While the Site and any Services provided through the Site (collectively, the “Services”) are not targeted towards individuals under the age of eighteen (18), any individual using the Services must be at least eighteen (18) years of age and able to enter into binding contracts. User Obligations and Conduct

Accessing or using the Site and Services constitutes your acceptance of this Agreement on behalf of yourself and/or any entity you are authorized to represent. You further agree that, in conjunction with customary expectations, you shall:

Use the Site and Services solely for legally acceptable purposes and in accordance with all laws and regulations applicable to such use.
Ensure the accuracy, currency, and completeness of all information you provide in conjunction with the Site and Services.

Account Registration and Security

Some of our Services may require registration in order to use. You agree to:

Maintain the confidentiality of passwords associated with your account.
Notify us immediately of any unauthorized use of your account or any other breach of security.

You are fully responsible for all activities that occur under your account. BOT APT is not liable for any loss or damage arising from failure to comply with the above.

Engagement of Services and Fees

BOT APT offers client-oriented professional services generally on a consultative and project basis. Fees depend upon the nature, complexity, scope and duration of the services provided. Any proposal, quotation or confirmation of services will set forth the detailed terms, deliverables and payment schedules. Unless otherwise explicitly set forth in writing, all fees for Services are due and payable as provided hereunder in your agreement with BOT APT. Intellectual Property Rights

All materials, trademarks, logos, graphics, documents, software, or other information available through the Site or our Services are owned by BOT APT Global Tax Consultants LLC or its licensors and are subject to copyright, trademark and other rights. You may not copy, reproduce, modify, distribute, transmit, display, perform or make derivative works from the materials contained in the Site and/or Services without our prior written consent. You have a limited, non-exclusive, non-transferable license to use the Site and the Services for your internal business purposes.

Confidentiality and Data Protection

BOT APT will take reasonable steps to protect Client information in its possession and comply with all relevant data privacy laws. Information you provide to us through the Site or in the performance of the professional service(s) will be treated with care and respect for your expectations of privacy. BOT APT will not disclose Client information to third parties, unless required by law, with your consent, or as is reasonably necessary for rendering the Services. Refer to our Privacy Policy for additional details regarding such information we may collect, use, and protect.

Our Site may include links to public and private third party sites or services. These are not created, owned, or controlled by BOT APT. We provide those links for your convenience only. Without limiting the foregoing, BOT APT makes no representations or warranties of any kind, express or implied, regarding the operation of the Site, the content or completeness thereof, or the suitability of our Services for a specific purpose. To the maximum extent permitted by applicable law, BOT APT disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose and non-infringement. Limitation of Liability

To the maximum extent permitted by applicable law, BOT APT and its affiliates, officers, directors, employees, agents and licensors shall not be liable for any direct, indirect, incidental, consequential, special, exemplary or punitive damages arising out of or related to your use of, inability to use or access the Site or Services, even if we have been advised of the possibility of such damages. Indemnification

You agree to indemnify, defend and hold harmless BOT APT, its affiliates, partners, officers, directors, employees and agents from and against all claims, liabilities, damages, losses, costs or expenses (including reasonable attorneys’ fees) arising from or related to:

Your breach of these Terms;
Your breach of any rights of any other person or entity, including intellectual property or privacy rights; and

This indemnification obligation survives the termination of your use of the Site and Services.

User Content and Submissions

You may be afforded an opportunity to submit feedback, comments, or other content through the Site or the Services (“User Content”). By submitting User Content, you hereby grant to BOT APT a worldwide, non-exclusive, royalty-free, perpetual and irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute and otherwise exploit such User Content in connection with its business in any form and at any time. Prohibited Activities

Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity;

Disrupt or interfere with the operation of the Site, servers or networks connected to the Site;

Termination

BOT APT at its discretion has the right to suspend or stop your access and use of the Site and/or any of the Services, with or without prior notice, and for any reason (including, without limitation, your breach of any obligations in these Terms). Termination shall become effective immediately upon such notice. All rights granted to you under these Terms shall terminate effective upon termination. Any provision which is, by its nature, intended to survive termination will survive termination of this Agreement and shall continue in full force and effect.

Governing Law and Jurisdiction

The Terms and any dispute arising out of or relating to the use of the Site or the Services shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts sitting in Arlington, Virginia for the resolution of any legal matter arising from or related to these Terms or your use of this site and Services.

International Use

BOT APT’s Site and Services may be accessed globally. BOT APT does not make any representation that the materials or Services are appropriate or available for use in all jurisdictions. BOT APT makes no representation as to the compliance with any law of any jurisdiction. Those who choose to access the Site or the Services from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

Dispute Resolution

If the dispute is not resolved informally, then either party may pursue such matter in the courts in Arlington, Virginia as described in “Governing Law and Jurisdiction”.

Force Majeure

BOT APT shall have no liability for any failure or delay in the performance of its obligations under these Terms and Conditions, if and to the extent that such failure or delay is due to an Event of Force Majeure, meaning any event which is beyond the reasonable control of the Party in question, including acts of God, fire, flood, earthquake, war, terrorism, industrial action, telecommunications failures or any other causes outside that Party’s reasonable control.

Severability

To the extent any provision of these Terms is found to be unlawful, void, or unenforceable on any grounds, said provision shall be deemed severable from these Terms and shall not affect the validity or enforceability of the remaining provisions.

No Waiver

Failure by BOT APT to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of these Terms must be in writing and signed by an authorized representative of BOT APT.

Entire Agreement

These Terms and any other legal notices or policies published by BOT APT on the Site constitute the entire agreement between you and BOT APT in respect of your use of the Site and Services, and supersede any prior agreements or understandings between you and BOT APT in respect of your use of the Site and Services whether written or oral.

Assignment

You may not assign, transfer or sublicense any of your rights or obligations under these Terms without our prior written consent. BOT APT may assign, transfer or delegate its rights and obligations under these Terms at any time without notice or consent.

Relationship of the Parties

Nothing contained in these Terms is intended to, or shall be interpreted to, create a partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between you and BOT APT. Neither party has any authority to bind the other in any respect.
